or i have that theme i actually bought it along time ago if you wait a while when i get home i will go and see if i can find it, but to be honest i dont think i used it as he (she) will take your money and never answer your email for help so i think i dragged it behind the truck burnt it deleted it revived it then secure deleted it then threw it around in cyber space a little before actually destroying it!

Mstudio is a commercial theme. We wouldn't intentionally give away something that you would have to pay for.

If the theme wasn't released under the GNU (meaning you had to pay for it) then you purchased a license to use the theme. That means in my mind that no. You can not give it away. It would be just like going into a computer store and buying a piece of software. Technically you didn't buy the software. You purchased a license to use the software. That license is usually not transferable and is generally limited to using said software on one computer.
With all that being said to save myself a headache I wouldn't give out a theme that I paid for. You never know what tricks the themes creator might have placed in the theme to track it, psst it is possible. Or even if there isn't some piece of code in it like I saw on another theme which prevented it from being used on any other site but the one it was sold to. To make this workable the themes creator encrypted the theme.php file so it couldn't easily be changed.
Yeah I know it's easy to say "well the site that created it isn't around anymore". While true you don't know if the owner of the copyright on the theme wouldn't enforce it should he see it floating around on unauthorized sites.
Just my thoughts on the subject you can take them for what they are worth. Consider this they came from a 19 year old.
